Orlando ยท Central Florida
Preparing to sell an owner-operated business in Orlando and Central Florida.
Coello Advisory provides M&A advisory and exit planning: valuation, exit readiness, sale preparation and deal structuring advice. In Florida, marketing the business to buyers, introducing buyers and negotiating the sale are run alongside a broker licensed in Florida, and we work with them. Central Florida's economy runs on tourism, events, simulation and training technology, and the steady growth of the region's suburbs. Each of those produces a different kind of business and a different kind of buyer.
The Central Florida business mix
- Tourism and attraction supply: companies that build, maintain, staff, clean, transport or supply the theme parks, resorts and attractions.
- Events and conventions: production, audio-visual, staging, exhibit building and transport firms serving the convention calendar.
- Simulation, training and technology: engineering and software firms around the region's modeling, simulation and training cluster, many of them working for defense customers.
- Home and building services: HVAC, pool, pest control, roofing and landscaping companies serving fast-growing suburbs from Kissimmee to Lake Nona and Sanford.
- Healthcare: practices, home health and medical services across Orange, Osceola and Seminole counties.
- Distribution and logistics along the I-4 corridor.

Private-equity add-ons
Home services, healthcare and government services platforms adding Central Florida coverage.
Strategic acquirers
Competitors expanding along the I-4 corridor and defense or training companies buying specialist engineering teams.
What Central Florida sellers typically get wrong
- One contract carrying the business. A supplier whose largest customer is a single resort or attraction operator needs to show how that relationship survives a sale, or expect part of the price to be paid over time.
- Event revenue presented as recurring. Convention and event work repeats, but it is booked job by job. Show the history by client and by year.
- Insurance and storm costs left out. A buyer will price the insurance they will actually pay. Put current quotes and claims history in the file.
- Worker classification. Fast-growing service businesses often rely on contractors. Have your CPA and attorney review classification before a buyer does.
- The lease and the property. Where the sale involves real property or a lease, that part is handled by a real estate professional who holds the right Florida license, working alongside us.
Before you go to market
Twelve to twenty-four months of preparation is worth more than a hard negotiation. In Central Florida that usually means turning repeat work into written agreements, especially maintenance and service contracts with resorts, property managers and homeowners. It means showing revenue by customer and by month, so a buyer sees both concentration and seasonality honestly. And it means a team that can quote, schedule and deliver without the owner on every call. A buyer from outside the region is often relocating as well as buying, and will lean heavily on the people who already run the work.
How we value a Central Florida business
We build seller's discretionary earnings from three years of tax returns and bank statements, so a strong tourism year is not mistaken for the new normal. A multiple that reflects size, contract mix and owner dependence gives the first view. The debt-service test asks whether a buyer using SBA 7(a) financing could carry the loan from cash flow in an average year, not the best one. The asset floor covers vehicles, equipment, inventory and receivables. The answer is a range with every assumption shown.
